LLCs pass taxes through to the members, but they do limit you from excess burnination-based liability.

We only studied the UNIFORM LIMITED LIABILITY COMPANY ACT, which is the model for most states, and it specifically allows LLCs with one or more members. I've heard of no state where more than one is required.
Oh, for the name:

Yep, some states require two. Here's the first verification that popped up:
Although the IRS allows an LLC with only one member, the state of California requires LLCs to have at least two members. A member of an LLC may be an entity other than an individual such as another LLC, corporation, partnership, or trust.

So really, you have to file two extra forms to get a one-member LLC in CA.
QtB would be sole shareholder in Dummy Burninations, Inc.
QtB and DBI are members of QtB, LLC, with QtB having a 99% ownership.
